Please read the complete agreement before accepting it through the tester request form. You may copy or print this page for your records, or request an emailed copy from nour@ipromptiam.com. Viewing this page alone does not constitute acceptance or grant access.
1. Parties and effective date
This agreement is between IPROMPTIAM, INC. ("IPROMPTIAM"), Nour Sulaiman (Langendorfer), and you. In exchange for private beta access or Confidential Information provided to you, you agree to these terms. The agreement becomes effective when IPROMPTIAM first provides that access or information after your acceptance. An application alone does not entitle you to access.
2. Private beta participation
Access is personal, limited to evaluation and feedback, and subject to individual approval. Do not share your account, invitation, or access credentials. Your beta will normally last 30 days from activation unless your invitation specifies otherwise. IPROMPTIAM may extend, suspend, or revoke access, including before the stated testing period ends. You may stop participating at any time by contacting nour@ipromptiam.com.
Beta access is provided without charge or a payment-card requirement and does not automatically convert to a paid subscription. Any paid membership requires a separate affirmative purchase. Beta membership does not grant administrator permissions.
The beta is unfinished; features may change and errors or data loss may occur. Keep independent copies of your own work. Use material you have the right to use, and avoid confidential employer or client information and sensitive personal data during testing. We will ask for candid feedback about your experience.
3. Confidential Information
"Confidential Information" means nonpublic information disclosed or made available to you through private beta access, demonstrations, materials, or communications that is identified as confidential or should reasonably be understood to be confidential. It includes nonpublic functionality, designs, workflows, technical or business information, and private testing materials.
It does not include information that becomes public without a breach of a confidentiality duty; you already lawfully knew without restriction; you independently develop without using Confidential Information; or you lawfully obtain from another source without a confidentiality duty. Your own content and general skills or experience are not Confidential Information merely because you use or develop them during testing, but this does not permit disclosure of IPROMPTIAM's Confidential Information.
4. Confidentiality and permitted use
Use Confidential Information only to evaluate IPROMPTIAM and provide feedback. Protect it with reasonable care. Do not disclose it to another person or publish screenshots, recordings, demonstrations, or descriptions that reveal it without IPROMPTIAM's written permission.
Do not use Confidential Information to copy or recreate the platform, develop a competing product, or help another person do so. This restriction does not prohibit independent development or lawful use of public information.
You may use supported features as intended, including permitted copying or exporting of your own content. Confidential Information included in an export remains subject to this agreement. Do not scrape or extract nonpublic platform materials outside authorized features, or reverse engineer nonpublic components, except to the extent a restriction is prohibited by applicable law.
5. Use with external AI tools
You may use your own content and materials IPROMPTIAM expressly designates for use with external AI tools. Do not upload other Confidential Information to AI tools, public repositories, or other external services without IPROMPTIAM's written permission. Testing instructions provided by IPROMPTIAM may authorize specific uses. This agreement does not require you to use any particular AI provider.
6. Required and protected disclosures
If disclosure is legally required, give advance notice when legally permitted, reasonably cooperate with efforts to protect the information, and disclose only what is required. No prior permission or notice is required for legally protected reporting.
Nothing in this agreement restricts legally protected reports or disclosures. Under 18 U.S.C. section 1833(b), individuals are protected from federal and state criminal or civil trade-secret liability for certain disclosures made confidentially to government authorities or a lawyer solely to report or investigate suspected illegality, and for disclosures in sealed legal filings. In an employer-retaliation lawsuit, an individual may share trade secrets with counsel and use them in the case if documents containing them are filed under seal and further disclosure occurs only as the court permits.
7. Duration and return or deletion
The confidentiality and restricted-use obligations continue for three years after the last disclosure of Confidential Information to you. Trade secrets remain protected for as long as they qualify as trade secrets under applicable law. Ending access does not end these obligations.
Upon request, stop using and return or delete Confidential Information under your control. You may retain this agreement and records you must keep by law, which remain protected. You may retain your own content that does not disclose Confidential Information.
8. Ownership and feedback
This agreement transfers no intellectual property ownership. Existing rights in the platform, your content, and third-party materials remain with their respective owners.
If you voluntarily provide suggestions or feedback, you grant IPROMPTIAM a nonexclusive, worldwide, perpetual, royalty-free license to use that feedback to develop and improve its products and services. This permission covers the feedback you provide, not unrelated personal content, and does not authorize use of your name or identity in publicity. Do not provide feedback you lack permission to share.
9. Enforcement and changes
Either party may seek remedies available under applicable law for a breach. Injunctive relief is subject to applicable legal requirements. Nothing in this agreement limits rights or protections that cannot lawfully be waived.
This agreement contains the terms for private beta participation and confidentiality. A change to these terms requires your affirmative acceptance of the revised version. Existing accepted versions must remain identifiable in the records.
10. Electronic acceptance
By selecting the agreement option and submitting the tester request form, you consent to signing electronically and intend your typed full legal name and agreement selection to serve as your electronic signature. You are accepting personally, not binding your employer. You may copy or print this agreement for your records, or request an emailed copy at nour@ipromptiam.com.
